1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you (the "User") and NeuAI Technologies Private Limited ("NeuAI", "we", "us"). By visiting neuaitechnologies.com, creating an account, or using any NeuAI product or service, you accept these Terms in full.

If you are accessing our services on behalf of a company or organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Description of Services

NeuAI provides AI-powered products and solutions for Indian businesses, including but not limited to FabricGuard (textile quality inspection), ManasBot (AI chatbot), StockSense AI (inventory intelligence), Matsya Saathi (aquaculture analytics), and Krishi Sahitya (agricultural knowledge).

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

3. Accounts & Registration

Some services require account registration. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your credentials
• Notify us immediately of any unauthorised account access
• Accept responsibility for all activities that occur under your account

We reserve the right to disable accounts that violate these Terms.

4. Acceptable Use

You may not use our services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorised access to our systems
• Scrape, reverse-engineer, or decompile our products
• Engage in deceptive, defamatory, or harassing conduct
• Resell or sublicense our services without written authorisation

Violation of acceptable use may result in immediate termination of your access.

5. Intellectual Property

All content on neuaitechnologies.com — including text, graphics, logos, icons, images, software, and AI models — is the exclusive property of NeuAI Technologies or its licensors and is protected under Indian copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for your own internal business purposes. No other rights are granted.

Any feedback, suggestions, or ideas you provide to us may be used by NeuAI freely without compensation or attribution to you.

6. Payment & Subscriptions

Certain services are offered on a paid subscription basis. Payment terms are set out in your order form or product agreement. Unless otherwise stated:

• Fees are non-refundable except as required by law
• All prices are in Indian Rupees (INR) and exclusive of applicable taxes (GST, etc.)
• We may update pricing with 30 days' advance notice
• Failed payments may result in service suspension

7. Confidentiality

Both parties agree to keep the other's confidential information (technical, commercial, or otherwise) secret and not to disclose it to third parties without written consent. This obligation survives termination of the relationship.

Client data processed through our AI systems is treated as confidential and is not used to train our models without explicit written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• Our services are provided "as is" without warranties of any kind, express or implied
• NeuAI shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability for any claim arising from or related to these Terms shall not exceed the fees paid by you to NeuAI in the three months preceding the event giving rise to the claim

AI-generated outputs are for decision-support only. You are solely responsible for decisions made based on our products' outputs.

9. Indemnification

You agree to indemnify and hold harmless NeuAI Technologies, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate the agreement with 30 days' written notice. NeuAI may terminate immediately upon breach of these Terms. Upon termination, your right to access and use our services ceases. Provisions that by their nature should survive termination (IP, liability, indemnity, governing law) shall do so.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall first be attempted to be resolved by mutual negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Pune, Maharashtra. The language of arbitration shall be English.

For consumer disputes, the Consumer Protection Act, 2019 provisions shall apply.

12. Changes to Terms

We may update these Terms from time to time. Significant changes will be notified via email or website notice at least 15 days before the effective date. Continued use after that date constitutes acceptance of the revised Terms.
